Revised California Transparency Act Statement


The following disclosure is made pursuant to the California Transparency in Supply Chains Act of 2010, by Terex Corporation (“Terex”) on behalf of itself and subsidiaries:

 

Terex is committed to operating with the highest level of ethical behavior and to complying with all applicable laws, regulations, and industry codes in every country where it does business. Terex prohibits the use of slavery, servitude, human trafficking, and child and forced labor (collectively referred to as “modern slavery”) and does not knowingly do business with any supplier who engages in such practice.

 

Terex’s template terms and conditions of purchase and supply agreements require suppliers to comply with all applicable laws and represent that they will not engage in or utilize modern slavery. The Supplier Code of Conduct outlines these standards and ones regarding additional human rights violations. Terex reserves the right to terminate any agreements with suppliers who are identified to be engaging in conduct that is prohibited under our Supplier Code of Conduct.

 

Suppliers accounting for a majority of our spend are surveyed annually by a third-party provider on their policies and practices to combat modern slavery, among other human rights topics, via the Supplier Risk Assessment. Terex uses the information gathered from the assessment to identify, assess, and manage any potential human rights related risk present in our supply chain.

 

Supplier audits are conducted on an as needed basis, with notice using internal resources or external providers, depending on the nature of the audit. Historically, supplier audits have not focused on modern slavery compliance.

 

The Terex Code of Ethics and Conduct (the “Code”), which is issued to Terex employees, prohibits the use of modern slavery and states that all Terex employees must comply with all applicable laws and regulations and industry codes in every country where Terex does business. All Terex employees receive training on the Code when they are onboarded and on an as needed basis. Terex employees certify annually that they understand and agree to comply with the Code. Failure to comply with the Code may result in disciplinary action and/or termination of employment.

 

All Terex employees are responsible for monitoring compliance with these standards and should promptly report any violations or suspected violations.
